Article 1 — Purpose

These General Terms of Service apply to all consulting, development, and artificial intelligence services provided by Saber Graf, auto-entrepreneur operating under the trade name SG AI Solutions, SIRET 101 222 693 00018, hereinafter referred to as "the Service Provider".

Any purchase order, accepted quote, or signed commercial proposal implies the full and complete acceptance of these Terms of Service by the client.

Article 2 — Services

The Service Provider offers services including:

  • Artificial intelligence consulting and strategy
  • Agentic workflow development and automation
  • AI web application development (frontend, backend, cloud infrastructure)
  • LLM and RAG solution integration
  • AI transformation audit and advisory

The specific details of services, timelines, and pricing are set out in the commercial proposal or quote accepted by the client, which takes precedence over these Terms of Service in case of contradiction.

Article 3 — Pricing and invoicing

  • Prices are expressed in euros, excluding tax (HT).
  • The Service Provider benefits from the VAT exemption under article 293 B of the French General Tax Code (CGI). VAT is not applicable as long as the regulatory threshold is not exceeded. If the threshold is exceeded, the client will be informed and subsequent invoices will include VAT at the applicable rate.
  • Invoicing occurs on the 1st of each month for monthly retainer engagements, or according to the schedule defined in the commercial proposal.
  • Payment is due within 30 days from the invoice date, unless otherwise agreed in the proposal.

Article 4 — Payment conditions

  • Any late payment automatically incurs late payment interest at the prevailing legal rate, as well as a fixed recovery indemnity of €40 (article L.441-10 of the French Commercial Code).
  • In case of non-payment after formal notice, the Service Provider reserves the right to immediately suspend ongoing services.

Article 5 — Intellectual property

  • All developments, source code, architectures, and deliverables produced as part of an engagement become the exclusive property of the Client upon full payment of the service.
  • Until payment is received in full, the Service Provider retains all intellectual property rights over the deliverables.
  • The Service Provider reserves the right to reference the engagement in its commercial portfolio, unless the client explicitly agrees otherwise.

Article 6 — Confidentiality

The Service Provider commits to maintaining strict confidentiality of all documents, data, and information shared by the client in the context of the engagement, and to not disclose them to third parties without prior written consent from the client.

This confidentiality obligation applies for the entire duration of the engagement and for a period of 3 years after the end of the service.

Article 7 — Liability

  • The Service Provider's liability is limited to the amounts actually received for the engagement in question.
  • The Service Provider cannot be held liable for indirect damages, loss of revenue, or lost profits incurred by the client.
  • The client is solely responsible for the regulatory compliance of the use they make of the deliverables.

Article 8 — Termination

  • For monthly retainer engagements: termination is possible at the end of the minimum commitment period defined in the proposal, with 1 month's notice by email.
  • In case of a serious breach of obligations by either party, the other party may terminate the contract with 15 days' notice by registered letter with acknowledgment of receipt.
  • Any days or deliverables already produced remain due and billable on a pro-rata basis.

Article 9 — Applicable law and jurisdiction

These Terms of Service are governed by French law. In case of dispute, the parties commit to seeking an amicable resolution before any legal proceedings. Failing that, the competent court shall be that of Vinon-sur-Verdon.
